These Terms of Service ("Terms") govern your access to and use of Humerly's website (humerly.com) and email warmup services ("Services"). By accessing our website or using our Services, you agree to these Terms.

1. Services Overview

Humerly provides an email warmup service that uses a verified human engagement network to improve email deliverability and sender reputation. Our Services include routing your warmup emails through real human accounts who engage with them authentically on personal devices.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent that you meet these requirements.

3. Account and Access

To use our Services, you must provide accurate and complete information during the onboarding process, including your sending domain details. You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

4. Acceptable Use

You agree to use our Services only for lawful email warmup and deliverability improvement purposes. You shall not use our Services to:

• Send or warm up emails containing illegal, harmful, threatening, abusive, or fraudulent content
• Send or warm up emails promoting gambling, betting, adult content, MLM schemes, or cryptocurrency scams
• Send or warm up emails that violate the CAN-SPAM Act, GDPR, DPDP Act, or any other applicable anti-spam or data protection law
• Attempt to reverse-engineer, scrape, or access our engagement network data
• Use our Services in any way that could harm the reputation or security of our engagement network
• Resell or redistribute our Services without prior written authorization

We reserve the right to suspend or terminate your access immediately if we determine that your use violates these terms.

5. Content Policy

All email content warmed through our service is subject to review. We permanently reject campaigns involving betting or gambling, loan or lending apps, adult content, MLM or pyramid schemes, cryptocurrency scams, illegal activities, spam or misleading apps, and political or hate content. We welcome campaigns from legitimate e-commerce, educational, SaaS, regulated financial services, healthcare, FMCG, career portals, and government services.

6. Free Trial

Humerly offers a 7-day free trial for new clients. No credit card is required for the trial period. The trial provides access to the same real human engagement network available to paid clients. At the end of the trial period, you may choose to subscribe to a paid plan or discontinue use.

7. Pricing and Payment

Our current pricing is published on our website. Prices are per inbox per month and vary by volume tier. We reserve the right to change pricing with 30 days' advance notice to existing clients. Payment is due at the beginning of each billing period.

8. Cancellation

You may cancel your subscription at any time. There are no cancellation fees or long-term contracts. Upon cancellation, your service will remain active until the end of the current billing period. No refunds are provided for partial billing periods.

9. Service Availability

We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. We may temporarily suspend Services for maintenance, updates, or circumstances beyond our control. We will provide advance notice of planned maintenance when possible.

10. Intellectual Property

All content on humerly.com, including text, graphics, logos, design, and code, is the property of Humerly and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law, Humerly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

Email deliverability depends on many factors beyond our control, including your sending domain history, email content, and recipient behavior. While our service improves inbox placement for most clients, we do not guarantee specific deliverability outcomes.

12. Indemnification

You agree to indemnify and hold harmless Humerly and its team members from any claims, damages, or expenses arising from your use of our Services, your violation of these Terms, or your violation of any applicable law.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
